NDA & High-Risk Industries Policy

This policy explains how Metal Fab Parts LLC (“Metal Fab Parts,” “we,” “us,” or “our”) handles confidential, proprietary, and regulated information when supporting RFQs that require heightened care. It supplements our Privacy Policy and Terms of Service.
1. Purpose
Metal Fab Parts supports buyers whose projects may involve sensitive designs, proprietary know-how, or regulatory constraints. This policy establishes when and how Non-Disclosure Agreements (NDAs) are used and how high-risk or regulated RFQs are handled.
Our goal is to protect buyer information, respect supplier obligations, and avoid unnecessary friction in the sourcing process.
2. What We Consider High-Risk or Regulated
An RFQ may be treated as high-risk if it involves, or reasonably appears to involve:
- Defense or military applications
- Export-controlled or ITAR-regulated technical data
- Aerospace or aviation components
- Medical devices or life-critical parts
- Energy, infrastructure, or safety-critical systems
- Highly proprietary automation, tooling, or IP-sensitive designs
If classification is unclear, Metal Fab Parts may treat the RFQ as high-risk by default until clarified.
3. NDA Availability and Use
NDA Upon Request
Metal Fab Parts can operate under a mutual Non-Disclosure Agreement when required.
- Customer-provided NDAs may be reviewed and executed
- Our standard mutual NDA is available for rapid execution
- NDAs must be executed before controlled or proprietary data is shared externally
Scope of NDA Coverage
When an NDA is in place, it typically covers:
- Drawings, CAD files, specifications, and models
- Pricing, quantities, lead times, and commercial terms
- Application details, end-use information, and program context
4. RFQ Distribution Controls
For high-risk or NDA-covered RFQs:
- RFQs are shared with the minimum number of qualified suppliers necessary
- Suppliers are selected based on capability, fit, and confidentiality expectations
- No mass distribution, automated blasting, or public listing is permitted
Each RFQ is handled as a controlled sourcing activity, not a marketplace posting.
5. Supplier Disclosure Under NDA
For sourcing purposes, Metal Fab Parts may disclose limited confidential information to vetted suppliers, provided that:
- Disclosure is strictly necessary for quoting or feasibility
- Suppliers are subject to confidentiality obligations consistent with the NDA
- Disclosure scope is limited to what is required for the RFQ
6. Export-Controlled and ITAR Projects
Metal Fab Parts does not assume export-control compliance unless explicitly agreed in writing.
For RFQs involving ITAR or similar regulations:
- The customer must clearly identify the RFQ as regulated
- Only U.S.-based suppliers and U.S. persons will be considered
- Additional confirmation or documentation may be required before sourcing begins
- Metal Fab Parts reserves the right to decline RFQs that cannot be handled responsibly or compliantly
7. Data Handling and Security Measures
For sensitive projects, additional safeguards may include:
- Restricted internal access on a need-to-know basis
- Secure file storage and controlled transfer methods
- Manual review prior to external sharing
- Removal or minimization of identifying details when appropriate
While no system is infallible, Metal Fab Parts applies heightened diligence proportional to project risk.
8. Customer Responsibilities
Customers submitting high-risk RFQs agree to:
- Accurately disclose confidentiality, regulatory, or compliance requirements
- Clearly label controlled or proprietary materials
- Provide written confirmation when export controls apply
- Execute required NDAs before transmitting sensitive data
Failure to disclose regulatory status may delay or prevent RFQ processing
9. Right to Decline or Suspend Work
Metal Fab Parts reserves the right to:
- Decline RFQs presenting unreasonable legal, regulatory, or security risk
- Pause sourcing until NDA or compliance matters are resolved
- Terminate involvement if material misrepresentation is discovered
This protects buyers, suppliers, and Metal Fab Parts.
10. Relationship to Other Policies
This policy operates alongside our Privacy Policy and Terms of Service. In the event of conflict, the stricter confidentiality or compliance standard will apply.
